Constitution for the East Tennessee Chapter of the Berry Alumni Association
Article I - Name and Affiliation
The name of this organization shall be the East Tennessee Chapter of the Berry Alumni Association. This organization is formed as a chapter affiliated with the Alumni Association of Berry College.
Article II - Purpose
The threefold purpose of this chapter is:
- To promote the interests and welfare of Berry College.
- To provide a positive presence of Berry in the home community and/or among related special interest constituencies.
- To encourage alumni activities in the area, serving the needs and interests of area alumni.
Article III - Membership
Section 1
All graduates of Berry (The Mount Berry School for Bots, The Martha Berry School for Girls, Berry Academy, and Berry College) and all other persons who have been in attendance at Berry and currently residing within the East Tennessee area are eligible for membership in this chapter.
Section 2
All husbands, wives, former faculty and staff members, and parents of Berry alumni or Berry students are eligible for associate membership in this chapter with the right to vote and to hold any office except those of president and vice president.
Section 3
No annual dues shall be required.
Article IV - Board of Directors
Section 1
The Board of Directors shall consist of six members: the chapter officers and the immediate past president.
Section 2
Between annual elections, the Board of Directors shall, by majority vote of its members, fill all vacancies that may occur.
Section 3
The Board of Directors shall hold a minimum of two meetings annually. The presence of a majority of the Board of Directors will constitute a quorum.
Article V - Officers
The officers of this chapter shall consist of a President, First Vice President, Second Vice President, Secretary, and Treasurer. An associate member may not be elected president or vice president.
Section 1 - President
The President shall be elected for a term of two years and cannot serve successive terms. The President shall preside at all meetings of the membership. The President shall be Chairperson of the Board of Directors and an ex-officio member of every committee.
Section 2 - First Vice President
The First Vice President shall be elected for a term of two years. In the absence of the President, the First Vice President shall perform the duties of the President. If the office of the President becomes vacant, the First Vice President shall serve the un-expired term. The First Vice President may serve as Chairperson of a standing committee and shall perform other such duties as may be assigned by the President.
Section 3 - Second Vice President
The Second Vice President shall be elected for a term of two years and shall perform duties as may be assigned by the President.
Section 4 - Secretary
The Secretary shall keep minutes of all meetings of the chapter and the Board of Directors, arrange for notices of all meetings and maintain official custody of the list of alumni within the area. (This list shall be used for official chapter needs only and not released for political or commercial purposes.) The Secretary shall send an annual report approved by the membership to the Berry Alumni Office, Mount Berry, Georgia.
Section 5 - Treasurer
The Treasurer shall supervise all receipts and expenditures and shall be in charge of financial arrangements for all meetings, programs and other events.
Article VI - Chapter Government
The government of this chapter shall be vested in the Board of Directors.
Article VII - Meetings
Section 1
There shall be an annual meeting for the installation of officers (and directors at large) to be held in the spring of each year.
Section 2
The President, with the approval of the Board of Directors, shall appoint such additional committees as the interests of the club may require, and may prescribe the duties of such committees.
Article VIII - Elections
Section 1
The President shall appoint a nominating committee chair who shall appoint a committee which will have the duty of submitting the slate of candidates to the membership by mail prior to the annual meeting.
Section 2
The officers and directors of the chapter shall be elected each year at the annual meeting by a majority of the members present and shall hold office until their successors have been duly elected and installed.
Article IX - Amendments
This constitution may be amended by a majority vote of a quorum at any duly called meeting of the chapter membership. A quorum is defined as a majority of the members attending.
Article X - Adoption
This constitution may be officially adopted upon its approval by a majority vote of the members of this chapter in attendance at any regular or called meeting and upon its acceptance by the Association Development Committee of the Berry Alumni Association.
Article XI - Bylaws
The Board of Directors may adopt bylaws as it deems necessary and are not in conflict with the Berry Alumni Association. The membership and Berry Alumni Office shall be informed immediately of such adoption.
